These Terms and Conditions apply to all property owners, tenants, commercial clients, and individual users (“Customer”, “User”, “You”) who create an account, post project requests, or connect with trade professionals via the MyTradesShop marketplace platform.


1.1. MyTradesShop operates as an online matching service and marketplace designed to connect prospective clients with independent trade professionals across the United Kingdom. If you have inquiries regarding these terms, you may contact our team at any time via contact us.

1.2. These legal terms govern your access to and use of our platform as a Customer. For archival copies or earlier versions of our Customer Agreement, please review our historical policy records.

1.3. By registering, posting job requirements, or browsing services on the MyTradesShop platform, you acknowledge that you have read, understood, and agreed to be legally bound by this Agreement. If you do not agree to these conditions, you must immediately cease using our platform.

2.1. Throughout this document and associated platform policies, the terms listed below carry specific legal interpretations as defined herein:

“Agreement”Refers collectively to these Customer Terms and Conditions, alongside any operational guidelines, codes of conduct, or policy addenda published across the MyTradesShop marketplace platform, as updated from time to time.
“Contact Us”Denotes communicating directly with our platform support team using the official contact request form located on our site or via formal email transmission to contact us.
“Content”Encompasses all user-generated materials, media, and data submitted, transmitted, or uploaded to the MyTradesShop Platform by you. This includes, without limitation, written job descriptions, site images, photographs, video logs, audio clips, interactive messages sent to platform representatives, public Q&A posts, and review commentary.
“Customer”Refers to any individual homeowner, landlord, tenant, commercial property manager, or authorized corporate representative who registers an account, posts a project request, submits questions via "Ask a Tradesperson", or engages trade professionals through the MyTradesShop Platform.
“Customer Account”Means the authenticated online user profile and administrative portal established on the MyTradesShop Platform enabling a Customer to submit jobs, manage project listings, and communicate with contractors.
“Customer Privacy Policy”Refers to our dedicated data protection and privacy notice governing how personal information is collected, stored, and processed, accessible via Privacy Policy.
“Express Interest”Represents any action taken by a registered Tradesperson indicating willingness to perform a posted project, including submitting a quotation, sending an introductory message, requesting contact details, or selecting a job for shortlisting.
“Feedback”Refers to public ratings, written performance reviews, project testimonials, and qualitative evaluation submissions posted by Customers regarding the workmanship, reliability, and professionalism of a Tradesperson following project initiation or completion.
“Illegal Content”Means any material, text, image, or file uploaded to our platform that constitutes a criminal offence, promotes unlawful behavior, contains defamatory statements, infringes third-party intellectual property or privacy rights, or otherwise breaches applicable statutory legislation in England and Wales or the UK.
“Job”Refers to any home improvement project, maintenance task, trade repair, structural alteration, or professional service request uploaded and listed on the MyTradesShop Platform by a Customer.
“TradesShop” (“us”, “we”, “our”)Refers to MyTradesShop, the official operator and owner of the digital marketplace infrastructure, including its officers, employees, and authorized corporate affiliates.
“TradesShop Platform”Means the primary website operating under tradesshop.co.uk (and associated secondary domains), along with all native mobile applications, progressive web applications, software utilities, API interfaces, content databases, and digital communication tools hosted by MyTradesShop.
“TradesShop Reviews Policy”Refers to the platform's regulatory criteria and moderation standards governing the authenticity, submission guidelines, and removal conditions for Customer Feedback and star ratings.
“Service Agreement”Means any legal, commercial, or operational contract established directly between a Tradesperson and a Customer outlining project scope, pricing, material specifications, and completion schedules. A Service Agreement may be formed through written contracts, estimates, email exchanges, SMS text messages, or binding verbal agreements.
“Shortlist”Defines the platform mechanism whereby a Customer selects a preferred Tradesperson to review preliminary contact details, or where a Tradesperson selects an available Job to express direct commercial interest.
“Tradesperson” / “Tradespeople”Refers to any independent skilled professional, sole contractor, partnership, or registered corporate entity that maintains an active account on the MyTradesShop Platform for the purpose of receiving leads and offering services to Customers.
“You” / “Your”Refers to the individual or business entity accessing the MyTradesShop Platform as a Customer and agreeing to be bound by the obligations set forth in this Agreement.

3.1. Age Eligibility Requirement: Access to and usage of the MyTradesShop Platform is strictly limited to individuals who are at least 18 years of age. By setting up a Customer Account, submitting job requests, or otherwise interacting with our digital systems, you explicitly represent and warrant that you meet this minimum age requirement and possess full legal capacity to enter into binding agreements.

3.2. Intended Platform Purpose & Prohibited Uses: You undertake to utilize the MyTradesShop Platform exclusively for its designated function—specifically, connecting with independent Tradespeople to source authentic home improvement, trade maintenance, property repair, or construction projects. You are strictly prohibited from utilizing job listings, internal messaging functions, or any other features of the platform for non-intended objectives, including but not limited to:

3.2.1. Headhunting, soliciting, or recruiting Tradespeople for direct employment, sub-contracting positions, apprenticeships, internships, or alternative career opportunities unrelated to a bona fide posted Job;

3.2.2. Conducting market research, corporate intelligence gathering, commercial advertising, direct marketing campaigns, or unauthorized promotional endeavors; or

3.2.3. Advertising or selling external products, tools, or commercial services that bear no direct relation to a genuine Job posted on our system.

Any breach of this clause 3.2 constitutes a material violation of this Agreement, granting us the immediate right to remove non-compliant content and suspend or permanently deactivate your Customer Account in accordance with clause 10.

3.3. Platform Conduct & Respectful Engagement: You agree to use the MyTradesShop Platform—including posting project specifications, browsing trade profiles, communicating with our support staff, and exchanging messages with Tradespeople—in a lawful, fair, and reasonable manner. Your interactions must not infringe upon, restrict, interfere with, or inhibit the rights and peaceful platform usage of any other user or third party.

3.4. Security Standards & Safeguarding Account Integrity: You agree to maintain robust personal security protocols to prevent unauthorized access, system corruption, or cyber damage to the MyTradesShop Platform. These obligations explicitly include:

3.4.1. Ensuring that all computers, mobile phones, tablets, or hardware devices used to access our platform are secured with up-to-date security patches and active anti-virus software, and ensuring no malicious code, trojans, worms, or viruses are transmitted into our network;

3.4.2. Safeguarding your Customer Account access credentials (including usernames, passwords, and security tokens) so that they are strictly retained for your personal use and never shared, assigned, or transferred between multiple individuals; and

3.4.3. Promptly notifying us via contact us if you suspect or become aware that your credentials have been lost, stolen, compromised, or utilized in an unauthorized manner, or if you suspect any broader breach of platform security.

3.5. System Restrictions & Intellectual Property Protections: Except to the precise extent permitted by applicable statutory laws that cannot be excluded by mutual agreement, you shall not, directly or indirectly:

3.5.1. Reproduce, copy, alter, modify, mirror, frame, publish, stream, download, display, transmit, broadcast, or distribute any portion of the MyTradesShop Platform, its code base, or its core content across any medium or digital channel;

3.5.2. Decompile, disassemble, reverse-engineer, translate, or otherwise attempt to extract human-readable source code or underlying architecture from any software application or database comprising the platform;

3.5.3. Access, analyze, or leverage any element of the MyTradesShop Platform for the purpose of developing, benchmarking, operating, or marketing a competing service, directory, or software application;

3.5.4. Register, operate, or maintain multiple Customer Accounts without prior written permission from MyTradesShop;

3.5.5. Harvest, extract, or utilize data from the platform for the training, testing, tuning, or fine-tuning of any software application, machine learning model, or artificial intelligence framework; or

3.5.6. Employ automated scripts, bots, spiders, web scrapers, crawlers, avatars, data-mining engines, or equivalent manual and automated tools to systematically pull, collect, or download data, profiles, or directory information from the platform.

3.6. Platform Availability & Scheduled Maintenance: While our target is to provide continuous, 24/7 access to the MyTradesShop Platform for both Customers and Tradespeople, we reserve full operational discretion to take the platform (or specific features) offline as required for scheduled upgrades, server enhancements, and emergency repairs. Where practical, we will endeavor to communicate upcoming downtime in advance. You acknowledge that web-based communications can be subject to external disruptions outside our reasonable control.

3.7. Third-Party Infrastructure & Reliance: You acknowledge that the delivery of our digital services relies upon third-party network providers, cloud web hosting, database infrastructure, and telecommunications suppliers. To the maximum extent permitted under UK law, MyTradesShop is released from liability for operational delays, system defaults, or performance failures resulting directly from defects, downtime, or service disruptions originating from third-party software or infrastructure providers.

3.8. Independent Vetting Disclaimer & Due Diligence: Any references across the MyTradesShop Platform regarding background checks, credential verifications, ID validations, or trade accreditations are displayed for informational transparency only. Such references do not constitute a formal endorsement, official warranty, legal certification, or guarantee by us regarding a Tradesperson's competence, quality of work, or suitability. Customers retain full independent responsibility for inspecting qualifications, verifying public liability insurance, reviewing references, and establishing mutually agreed terms prior to hiring or commencing work with any Tradesperson.

4.1. Customer Content Responsibility & Prohibited Language: You maintain full legal ownership and exclusive responsibility for all Content that you create, upload, post, transmit, or make available via the MyTradesShop Platform. You strictly warrant that you will not publish or distribute Illegal Content or any materials containing obscenities, profanities, hate speech, racial slurs, misogynistic or discriminatory remarks, abusive threats, or any form of harassment or offensive communication. Submitting Content in violation of this clause 4.1 constitutes a material breach of contract, granting us the immediate right to suspend, restrict, or permanently terminate your Customer Account in accordance with clause 10.1.

4.2. Monitoring Disclaimer & Platform Content Rights: You acknowledge that MyTradesShop does not systematically pre-screen, continuously monitor, or formally approve User-submitted Content prior to its publication. However, MyTradesShop reserves the right (without assuming a statutory obligation) to review, edit, redact, hide, or permanently delete any Content where we reasonably determine it necessary to fulfill legal and regulatory obligations, enforce this Agreement, prevent fraudulent activities, or safeguard our users, staff, and system security. For specific guidelines governing customer feedback and star ratings, please refer to clause 8.

4.3. Reporting Unlawful Content & Triage Protocols: You may formally notify us of suspected Illegal Content or severe policy violations by reaching out directly via contact us. Upon receipt of a notification, our moderation team will evaluate the submission and take appropriate enforcement measures, which may include removing the content or executing account-level sanctions such as temporary suspension or permanent deactivation. We triage incoming reports based on risk severity, assigning immediate priority to submissions involving physical safety threats, child protection concerns, or serious criminal offenses. You agree to assist and cooperate fully with all reasonable requests for information issued by our team during an investigation.

4.4. Automated Content Screening & Appeals Procedure: You understand and acknowledge that MyTradesShop employs proactive automated scanning tools, algorithmic software, and pattern-recognition systems to identify malware, spam, and Illegal Content. If you believe your Content has been mistakenly removed, or if your Customer Account has been unfairly restricted or suspended due to automated moderation, you possess the right to lodge a formal administrative appeal. To initiate an appeal, contact us via contact us and choose the category for "Content Removal or Account Action". Our review team will evaluate your case and aim to provide a response within 10 business days where reasonably practicable. If your appeal is successful, appropriate corrective actions will be taken, such as restoring your Content or refining our automated filters to prevent recurring issues.

4.5. Disclosure to Legal Authorities & Regulatory Compliance: We reserve the right to share information, including User Content, communication logs, IP address history, and account profile details, with law enforcement agencies, regulatory bodies, or legal authorities when required by law or where reasonably necessary to prevent, detect, or investigate illegal conduct and satisfy our legal obligations. You acknowledge and agree that we are not required to provide advance or subsequent notification regarding such disclosures, particularly where doing so could compromise an active criminal or regulatory investigation.

5.1. Ownership & Limited Grant of Rights: MyTradesShop is the exclusive owner or authorized licensee of all intellectual property rights, proprietary title, and digital assets associated with the MyTradesShop Platform. This includes, without limitation, all software code, interface design, graphic architecture, visual layouts, editorial content, database structure, proprietary algorithms, trade names, and any Derived Materials compiled from platform usage data. Subject to your strict compliance with the terms of this Agreement, we grant you a limited, revocable, non-exclusive, non-transferable, and personal license to access and interact with the platform solely for its intended purpose of connecting with independent Tradespeople.

5.2. Unauthorized Use & Legal Remedies: Any unauthorized reproduction, distribution, scraping, modification, exploitation, or usage of intellectual property owned or controlled by MyTradesShop outside the explicit scope authorized under this Agreement is strictly prohibited. In the event of a breach of our intellectual property rights, we reserve the right to immediately suspend or permanently deactivate your Customer Account, terminate your access, and pursue all available statutory, civil, and equitable remedies against you, including seeking injunctive relief and monetary damages.

6.1. Data Controller Designation: MyTradesShop operates as a data controller in respect of all personal information and identifiable data that you provide directly to us, or that we collect automatically during your interaction with and navigation across the MyTradesShop Platform.

6.2. Processing Activities & Privacy Standards: All collection, storage, processing, transfer, and utilization of your personal data will be conducted in strict accordance with statutory data protection laws and our comprehensive Customer Privacy Policy, which may be accessed at Privacy Policy. We reserve the right to revise or update our privacy practices and policy terms from time to time to maintain ongoing regulatory compliance.

7.1. Job Postings & Matchmaking Workflow: You may publish project listings on the MyTradesShop Platform to identify appropriate Tradespeople operating within your geographic region. Our proprietary matching system may automatically evaluate and notify qualifying Tradespeople about your project, and you may also proactively issue direct invites to selected specialists. Tradespeople may subsequently express interest in undertaking your posted Job. You maintain full discretion to evaluate responding Tradespeople by reviewing their platform profiles, historical track records, completed portfolios, and Customer ratings. Depending on the specific engagement flow chosen by you and the Tradesperson, your contact information may be disclosed when you place a Tradesperson on your Shortlist, when you approve a contact request, or when a Tradesperson accepts your invitation and direct communication is initiated via the platform. We make no representations or guarantees that any specific Tradespeople will register interest in your project or that your listing will generate responses.

7.1.A. Algorithmic Ranking & Paid Visibility: The ordering of Tradespeople presented to you across search results or recommendation lists is determined by a range of operational criteria, including job relevance, proximity, verified customer feedback, and past response speeds to client inquiries. Additionally, certain Tradespeople may receive enhanced prominence or top placement as a result of purchasing sponsored visibility options. Any sponsored placement is transparently labeled as such and operates independently from, without altering, our core organic search algorithms.

7.2. Direct Contractual Relationship: All communications, discussions, cost estimates, quotations, financial transactions, delivery of work, and formal contractual arrangements (including the specific terms of any Service Agreement) established with Tradespeople identified through the MyTradesShop Platform are strictly and exclusively between you and the respective Tradesperson.

7.3. Dispute Non-Intervention & Limitation of Platform Responsibility: You explicitly acknowledge and agree that MyTradesShop shall not be held accountable or legally liable for any financial losses, property damages, delays, or grievances arising from or connected to your dealings with Tradespeople. Should a disagreement or legal dispute arise between you and a Tradesperson, or involving any external third party, MyTradesShop is under no legal or operational obligation to intervene, mediate, arbitrate, or participate in the resolution process.

7.4. Waiver & Liability Release: In the event of any disagreement or dispute with a Tradesperson, you hereby unconditionally release, discharge, and hold harmless MyTradesShop, along with its corporate officers, directors, employees, agents, representatives, and legal successors, from any and all liabilities, claims, demands, costs, expenses, and damages (whether direct, indirect, actual, or consequential) of every nature and kind, whether known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way connected with such disputes, except to the extent caused by our direct breach of this Agreement. Nothing within this clause 7.4 shall operate to exclude or limit either party's statutory liability for matters that cannot be restricted or excluded under mandatory law.

7.5. Third-Party Contract Disclaimer & Customer Due Diligence: MyTradesShop is not a party to, nor an intermediary or guarantor of, any Service Agreement, independent contract, or informal arrangement formed between you and a Tradesperson resulting from your use of the platform. Prior to entering into any legally binding agreement or permitting work to commence, it is the sole responsibility of the Customer to conduct independent due diligence, including verifying valid insurance coverage, confirming professional accreditations and licences, reviewing safety documentation, and validating trade credentials to ensure complete satisfaction. Consequently, we disclaim all liability for any injuries, damages, financial deficits, or substandard workmanship resulting from such independent contracts. The obligations and protections contained within this clause 7.5 shall survive any termination or expiration of this Agreement.

8.1. Eligibility for Leaving Reviews: Following the formal establishment of a Service Agreement for your Job, and once work on the project has actively commenced or financial compensation has been remitted to the Tradesperson, you are entitled to submit Feedback regarding the Tradesperson’s services, subject to compliance with our Reviews Policy.

8.2. Prohibited Review Practices: You expressly agree and undertake that you shall not:

8.2.1. Submit or publish Feedback while falsely impersonating a legitimate Customer or misrepresenting your identity or client status;

8.2.2. Post any Feedback for which you have received direct or indirect financial compensation, gifts, rebates, or other incentives;

8.2.3. Publish Feedback that contains defamatory, libelous, abusive, profane, vulgar, discriminatory, or hate-speech content;

8.2.4. Include private personal data or confidential identification information concerning the Tradesperson or third parties within your review; or

8.2.5. Submit any Feedback that is dishonest, fabricated, deceptive, or otherwise misleading.

8.3. Verification, Fraud Prevention & Removal Rights: You acknowledge and agree that we implement various verification mechanisms and auditing procedures designed to ensure that published Feedback remains authentic and originates from genuine Customers. At our sole discretion, we reserve the right to edit, retract, or permanently remove Feedback that violates our Reviews Policy, appears fraudulent or inauthentic, or is withdrawn upon the author's express request. Furthermore, we may take administrative action against associated Customer or Tradesperson accounts, including suspension or termination.

8.4. Disclosure of Review Origin: You acknowledge and agree that MyTradesShop may disclose your identity or account profile details as the reviewer to the specific Tradesperson to whom the Feedback pertains.

8.5. Information Verification Requests: We may contact you directly to request additional documentation, evidence, or clarification regarding Feedback you have submitted. If you fail to respond to our verification request within three (3) calendar days of initial contact, we reserve the right to remove the relevant Feedback from the platform without further notice.

8.6. Prohibition of Extortion & Unfair Coercion: You strictly agree not to use the threat of negative Feedback or offer positive Feedback as a leverage mechanism to coerce, pressure, or intimidate a Tradesperson into issuing refunds, providing unearned discounts, performing extra uncompensated labor, or granting any other commercial concession to which you have no legal entitlement. Engaging in such behavior constitutes platform abuse and may result in the immediate deletion of the Feedback and restriction or deactivation of your Customer Account. This clause does not prejudice your right to publish honest, fair, and lawful Feedback or exercise your statutory consumer remedies.

9.1. Uncapped Legal Liabilities: Nothing contained within this Agreement shall operate to restrict, exclude, or limit the statutory liability of either party in relation to:

9.1.1. Death, personal injury, or physical harm resulting directly from negligence or willful misconduct;

9.1.2. Fraud, intentional misrepresentation, or fraudulent deceit; or

9.1.3. Any other form of statutory liability or legal remedy that cannot be lawfully restricted or excluded under the applicable laws of England and Wales.

9.2. Platform Intermediary Role: MyTradesShop operates solely as an intermediary online venue and facilitator connecting Customers with independent contractors. We do not perform, supervise, or deliver the trade services offered by Tradespeople, nor do we act as an employer or principal to any Tradesperson. Consequently, we disclaim all legal responsibility and liability for the acts, omissions, defaults, delays, negligence, or misconduct of any Tradespeople in connection with any job or Service Agreement.

9.3. Limitation of Responsibilities for User Losses: Subject to clause 9.1, MyTradesShop accepts liability only for direct and foreseeable losses incurred by you as a direct consequence of our material breach of this Agreement. We shall not be held liable or financially responsible for any loss or damage that is:

9.3.1. Unforeseeable or Unexpected: Losses where it was not obvious that such damage would occur, and where no special circumstances were explicitly communicated to us prior to forming this contract that would have rendered such losses reasonably foreseeable;

9.3.2. External Delay Events: Disruptions, failures, or delays caused by events outside our reasonable control, provided we have complied with our obligations under clause 13.1;

9.3.3. Avoidable Damage: Any loss, harm, or additional expense that you could have reasonably prevented, mitigated, or avoided by taking prudent and timely precautions; or

9.3.4. Business Losses: Any commercial, financial, or business-related damages, including loss of profits, commercial revenue, anticipated savings, corporate opportunity, operational interruption, goodwill, or business reputation.

10.1. Termination for Cause: We reserve the right to terminate this Agreement and revoke your right to access or utilize the MyTradesShop Platform if you commit a breach of any provision, term, or condition set forth in this Agreement.

10.2. Notice Period for Termination: Under ordinary circumstances, we will provide you with a minimum of thirty (30) days' written notice prior to terminating this Agreement, except where:

10.2.1. Immediate or expedited termination is mandated by applicable statutory, regulatory, or tax obligations;

10.2.2. Immediate termination is deemed necessary because we reasonably determine that your actions pose a physical, financial, or security threat to Tradespeople, MyTradesShop, other Customers, or if you are suspected of engaging in fraudulent conduct; or

10.2.3. You have engaged in persistent or repeated breaches of this Agreement.

10.3. Immediate Risk Mitigations: Without prejudice to our rights under clause 10.1, MyTradesShop may suspend, restrict, or revoke your access to the platform at any given time if we form a reasonable belief that your continued activity poses a legal, regulatory, cybersecurity, or reputational threat to MyTradesShop, the platform ecosystem, or its users.

10.4. Statement of Reasons & Exceptions: Where we execute an account suspension or contract termination, we will, in most instances, issue a written statement of reasons on a durable medium at the time of enforcement, outlining the specific facts, circumstances, and contractual grounds leading to our decision. However, we are under no obligation to provide such a statement where:

10.4.1. We are legally, regulatory, or statutorily prohibited from disclosing specific facts, underlying circumstances, or legal grounds; or

10.4.2. You have demonstrated a pattern of repeated breaches of this Agreement.

10.5. Exclusion of Liability for Account Action: You acknowledge and agree that MyTradesShop shall bear no financial or legal liability to you or any third party for exercising its right to suspend, restrict, or terminate your Customer Account or access to the platform.

10.6. Prohibition of Re-entry: Following the suspension or termination of your access or Customer Account, you expressly agree not to attempt to access, register, bypass, or interact with the MyTradesShop Platform using alternative credentials, new accounts, or third-party identities.

10.7. Customer Right to Terminate & Deletion: You maintain the right to discontinue using the MyTradesShop Platform at any time. You may formally terminate this Agreement and request the deletion of your Customer Account by selecting the account closure option within your account dashboard settings and following the guided steps.

11.1. Submitting a Complaint: If you wish to register a formal grievance, dispute, or expression of dissatisfaction regarding the services provided directly by MyTradesShop, you are encouraged to get in touch with us via contact us.

11.2. Internal Complaint Handling Procedure: Upon formal receipt of your complaint, our designated support team will undertake the following steps:

11.2.1. Thoroughly review and evaluate the details of the complaint, requesting supplementary documentation or clarifications where necessary to fully understand and address the underlying issues;

11.2.2. Investigate and process the matter within a reasonable timeframe, proportional to the operational complexity, urgency, and material significance of the grievance raised; and

11.2.3. Provide the complainant with a formal written summary detailing the outcome and conclusions of our internal review process.

We strive to resolve all user concerns amicably through fair, constructive, and reasonable dialogue. In the event that a complaint cannot be resolved through internal dispute protocols, either party may initiate an alternative dispute resolution proceeding pursuant to clause 11.3.

11.3. Alternative Dispute Resolution (ADR) & Mediation: Alternative dispute resolution offers a voluntary mechanism whereby an independent, impartial third-party body reviews the facts of a dispute and assists the parties in reaching a settlement without resorting to litigation. You may elect to submit an unresolved grievance to the Centre for Effective Dispute Resolution (“CEDR”) via their official online portal. CEDR provides this intake service at no cost to the consumer. Reaching an outcome through ADR does not strip you of your legal rights; if you remain dissatisfied with the mediated conclusion, you retain the right to pursue statutory remedies through a court of competent jurisdiction.

12.1. Notification of Agreement Modifications: We will issue formal notice regarding material amendments, revisions, or updates to this Agreement via direct email, internal account messaging across the MyTradesShop Platform, or through another durable communication medium. Minor administrative updates that do not affect the substantive rights, liabilities, or meaning of these terms may be implemented without prior notice. Under standard procedures, we will provide at least fifteen (15) calendar days' advance notice before contractual modifications take legal effect.

12.2. Extended Notice for Material Impact: Where proposed variations to this Agreement significantly impact the fundamental operational workflow, business procedures, or delivery of services, we will endeavor to provide an extended notice period prior to implementation.

12.3. Immediate Regulatory & Security Amendments: In exceptional circumstances, we reserve the right to implement changes with immediate effect without providing advance notification. Such urgent revisions are limited to instances where immediate implementation is required by statutory, legal, or regulatory mandates, or where necessary to safeguard the MyTradesShop Platform, Tradespeople, or Customers from active fraud, malware, cyber threats, data security breaches, or systemic vulnerabilities.

12.4. Rejection of Modified Terms: If you do not agree to be bound by any updated terms or modifications to this Agreement, your sole remedy is to cease using our digital services and terminate this contract in accordance with clause 10.7.

13.1. Force Majeure:

13.1.1. Neither party shall be held in breach of this Agreement nor liable for any delay or failure to fulfill its contractual obligations if such default stems from unforeseen events, emergency circumstances, or causes beyond its reasonable control. Under such conditions, the timeline for performance shall be extended by a duration corresponding to the impact of the disruption. If the period of non-performance or delay persists continuously for thirty (30) days, the non-affected party may elect to terminate this Agreement by issuing ten (10) days' advance written notice. The affected party remains obligated to exercise all reasonable mitigation measures to contain or minimize the delay.

13.2. Assignment and Transfer of Rights:

13.2.1. We reserve the right to novate, assign, or transfer our contractual rights and operational duties under this Agreement to another corporate entity or affiliate responsible for operating the MyTradesShop Platform. You will be formally notified in writing should such a transfer occur, and we will ensure that such assignment does not diminish or adversely affect your existing legal rights under this Agreement.

13.3. Entire Agreement:

13.3.1. This Agreement constitutes the complete and exclusive statement of terms between you and MyTradesShop concerning the subject matter hereof, superseding all prior oral or written negotiations, arrangements, or understandings. Both parties acknowledge that in entering into this contract, they do not rely upon, and shall have no remedies in respect of, any statement, representation, or guarantee (whether made innocently or negligently) not expressly embodied within these terms.

13.4. Third-Party Rights Exclusion:

13.4.1. This Agreement is formed solely between you and MyTradesShop. Pursuant to the Contracts (Rights of Third Parties) Act 1999, no external third party shall acquire any enforceable rights or standing hereunder, nor shall the consent of any third party be required to amend, vary, or terminate this Agreement.

13.5. Invalidity:

13.5.1. Should any competent court or judicial body determine that any provision of this Agreement is invalid, unlawful, or unenforceable, such determination shall affect only that specific provision, and all remaining terms shall continue in full force and effect.

13.6. No Waiver:

13.6.1. Any delay or failure on our part to enforce strict performance of any provision, or to exercise any right under this Agreement, shall not be construed as a waiver of our right to enforce such provisions or exercise such remedies at a later date.

13.7. Severability:

13.7.1. If any court or relevant authority deems any individual clause or sub-clause hereof illegal or legally unenforceable, that specific clause shall be severed, and the remainder of this Agreement shall remain valid and actionable, provided that the underlying economic and operational purpose of the contract is not fundamentally compromised.

13.8. Governing Law & Jurisdiction:

13.8.1. This Agreement, along with any non-contractual obligations or legal disputes arising out of or in connection with it, shall be governed by and interpreted under the laws of England and Wales. The courts of England shall have primary jurisdiction to settle any disputes. However, if you reside in Wales, Scotland, or Northern Ireland, you retain the option to bring legal proceedings in the relevant courts of your country of residence, and we reserve the right to enforce claims against you in those respective local jurisdictions.
